These Terms govern your use of uReferrals (the “Service”), a referral and affiliate management platform operated by uReferrals (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
1. Who can use uReferrals
You must be at least 18 years old and able to form a binding contract under applicable law. If you sign up on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. Two roles: Builders and Affiliates
uReferrals supports two account types:
- Builders are software vendors who run referral programs to grow their products. Builders configure the program, set commission rates, recruit affiliates, and pay affiliates from their own Stripe-connected revenue.
- Affiliates are individuals or companies promoting a Builder's product in exchange for commission on the resulting sales.
One person may hold both roles, in different programs.
3. Account terms
- You're responsible for keeping your login credentials secret. We'll never ask you for your password.
- You're responsible for activity that happens under your account.
- You must provide accurate signup information. We may suspend or close accounts with falsified information.
- One person, one account. You may not create multiple accounts to circumvent program limits, evade a ban, or game commissions.
4. Subscriptions and billing (Builders)
Builders subscribe to a plan (currently Pro at $49/mo or Scale at $149/mo) to run referral programs. Billing is handled via Stripe.
- Subscriptions auto-renew at the price displayed when you signed up. We'll notify you before any price change at least 30 days in advance.
- You can cancel anytime from the dashboard. Cancellation takes effect at the end of your current billing period — you keep access through the period you paid for.
- Refunds are not provided for partial periods. If something goes wrong on our side, we'll fix it case-by-case.
- Failed payment after a grace period suspends the program. We'll email before any suspension.
5. Pass-through payments (Affiliate commissions)
uReferrals does not hold or transmit affiliate commissions. Money flows directly from the Builder's Stripe account to the Affiliate's Stripe Connect account. We orchestrate the timing and reconciliation; the funds never enter our balance.
Each commission goes through a hold period (set per-program by the Builder, typically matching the Builder's refund policy). Once cleared, the Affiliate may withdraw at any time. If the underlying sale is refunded after withdrawal, a clawback is recorded against the Affiliate's next earnings.
Affiliates are responsible for the tax obligations of any commission earned. Builders are responsible for their own customer refunds, chargebacks, and the resulting clawbacks.
6. Conversion tracking and accuracy
We track clicks and conversions using a JavaScript snippet installed on the Builder's site, plus, where available, verification via Stripe Connect webhook. Builders are responsible for installing the tracker correctly. Where conversion data is reported by the Builder's browser code without webhook verification, the Builder is responsible for its accuracy and for any commissions paid in reliance on it.
7. Acceptable use
You may not use uReferrals to:
- Send spam, unsolicited bulk email, or messages prohibited by the recipient's jurisdiction.
- Promote a Builder's product through deception, malware, fake reviews, or violation of any platform's terms (including but not limited to YouTube, X/Twitter, Meta, Google, TikTok, Reddit).
- Engage in click fraud, conversion fraud, self-referral, or any other manipulation of attribution.
- Bid on a Builder's trademarked terms in paid search unless the Builder explicitly permits it in writing.
- Build, store, or distribute illegal content, malware, hate speech, or content that infringes intellectual-property rights.
- Reverse-engineer the Service, scrape it, or use it to build a competing product.

8. Builder responsibilities
- You must keep your Stripe Connect account in good standing so commissions can settle.
- You must honor commissions agreed to in your program terms. Changing commission rates retroactively for already-recorded conversions is not allowed.
- You must not direct affiliates to drive traffic in ways that violate the Acceptable Use Policy.
- You retain ownership of your customer data. We process it on your behalf — see the Privacy Policy.
9. Affiliate responsibilities
- You must comply with the Builder's program rules and any country-specific affiliate disclosure laws (FTC in the US, ASA in the UK, equivalent rules in the EU).
- Disclose your affiliate relationship clearly when promoting a Builder's product.
- You may not represent yourself as employed by, endorsed by, or speaking on behalf of a Builder unless explicitly authorized.
10. Intellectual property
We retain all rights to the Service, including code, design, copy, and trademarks. Builders retain rights to their content, brand assets, and customer data. Affiliates retain rights to their content. You grant us a limited license to display your logo and program name within the platform for the purpose of operating the Service.
11. Termination
You may close your account at any time from the dashboard. We may suspend or terminate accounts that violate these Terms, that we have reason to believe are involved in fraud, or that have been inactive for an extended period. On termination:
- Pending commissions in their hold period continue to age normally and remain payable to the Affiliate when cleared.
- Already-available commissions remain payable.
- We may withhold payouts pending investigation if we suspect fraud.
12. Disclaimers
The Service is provided “as is,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee uninterrupted, error-free, or secure operation, and we don't guarantee any specific result, level of traffic, conversion rate, or earnings from running or joining a referral program.
13. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising from or related to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose or (b) one hundred US dollars (US$100). We are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or lost data, even if advised of the possibility.
14. Indemnification
You agree to indemnify and hold us harmless against any third-party claim arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.
15. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION TBD — e.g. England & Wales, or your country of incorporation], without regard to conflict-of-laws principles. Any dispute will be resolved in the courts of that jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. If a change is material, we'll notify you by email and via an in-app notice at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance.
